TERMS AND CONDITIONS – USERS

1. WHAT IS THE HELLOCOACH® PLATFORM?

  • The HelloCoach® Platform is a unique electronic platform designed to connect and facilitate communication between Users and Coaches (who specialize in various coaching categories/topics) and who assist Users in achieving their short term personal and business goals more effectively, while developing Users’ ability to deal with problems more effectively when they arise.
  • The HelloCoach® role is to provide a conduit through which to match Users to Appropriate Coaches and manage the process of securing the meeting session between Users and matched Coaches.
  • The HelloCoach® Platform is not meant to be used for medical or psychological diagnosis or treatment.
  • The HelloCoach® Platform provides Users and Coaches with a method of accessing the HelloCoach® Platform through their preferred device.

2. TERMS AND CONDITIONS

  • These Terms and Conditions (“Terms”) Apply to all Users of the HelloCoach® Platform.
  • Please read the Terms carefully, as they contain exclusions and limitations of liability that affect you and impose legally binding obligations on you.
  • If you do not agree to these terms you may request to de-register from the HelloCoach® Platform, using the contact details provided at the end of this document.
  • By clicking “accept”, “proceed”, “register” or “continue” on the HelloCoach® App., and/or by using the HelloCoach® Platform, you agree to be bound by these Terms and Conditions.

3. GENERAL

  • We have defined certain words in these Terms which will begin with a capital letter (save for “you”, “we”, “us” and variations thereof). The definitions of these words may be found at the end of these Terms.
  • Singular words include the plural and the other way around.
  • Any references to legislation, rules or regulations will refer to same as amended from time to time.
  • Important clauses which may limit Our responsibilities or involve some risk for you will be in capital letters, bold letters, or italicized letters to bring them to your attention. You must pay special attention to these clauses.
  • You agree that you will not use the HelloCoach® Platform in contravention of any laws, regulations, or these terms.
  • The Terms and relationship between us shall be governed by the laws of the Republic of South Africa.
  • If any clause in these Terms is invalid, illegal, or unenforceable, it will not affect the validity, legality, or enforceability of the remaining clauses of these Terms.
  • If we fail to exercise or enforce any right or provision of the Terms, it shall not constitute a waiver of such right or provision.
  • We may freely cede, assign, or otherwise transfer our Agreement with you, or any of our rights or obligations under this Agreement to any third party without notice to you insofar as is lawfully permitted.
  • You consent to the jurisdiction of any Magistrates’ Court with jurisdiction under Section 28 of the Magistrates’ Court Act 32 of 1944 regarding any legal proceedings instituted by us in connection with our Agreement/these Terms.

4. REGISTERING FOR THE HELLOCOACH® PLATFORM

  • To register for the HelloCoach® Service (APP) you will need to register via the HelloCoach® link provided to you for such access (which is also available on the HelloCoach® website).
  • During the registration process, whether as a sponsored User, or making or redeeming a session voucher, you may be asked to provide the following information:
    • Name and surname (compulsory);
    • Email address and/or membership number (compulsory);
    • Password (compulsory);
    • Mobile number (compulsory);
    • City (where you live).
  • This information is used for identifying Users, their topic of coaching requested, matched to a suitable Coach to meet the requirements of the Users.
  • You can change your password as often as you want on the Login page/screen, or in your profile page.
  • We are not responsible for incorrect and/or invalid information provided by you or for any harm or prejudice whatsoever suffered as a result thereof.

5. USE OF/ACCESSING PLATFORM

  • Our role is strictly limited to connecting and facilitating communication between Users and Coaches.
  • The HelloCoach® App. (and Platform) is strictly for use by people that are 18 years or older.
  • We do not assess whether the use of the HelloCoach® Platform and/or the Coaching Services provided, are suited to your needs. That is the User’s sole responsibility, as well as the choice of Topic by the Users.
  • The HelloCoach® Platform is not meant to be used for medical or psychological diagnosis or treatment and is not a substitute for services provided by licensed and qualified medical health practitioners.
  • Never avoid or delay obtaining professional medical or psychological assistance from a qualified medical health care provider or disregard such assistance because of information you received through the HelloCoach® Platform.
  • We are not responsible for and cannot be held liable for any harm or prejudice caused to you, a third party or any property because of decisions made by you which are based on information provided to you through the HelloCoach® Platform.
  • You are advised to exercise a high level of care and caution in the use of the HelloCoach® Platform.
  • We reserve the right to terminate your account and access to the HelloCoach® Platform without any notice to you if we suspect or find that you are using the HelloCoach® Platform to transmit any of the following:
    • Unsolicited promotion of goods or services;
    • Malicious software or code;
    • Unlawful, discriminatory, violent, inciting or any other potentially harmful content;
    • Any Content that infringes the intellectual property rights of a third party or of us;
    • Any Content the publication of which may constitute, cause, encourage or incite a criminal action or which may violate any Applicable law.

6. PACKAGES AND COACHING SESSIONS

  • You will only be able to use the HelloCoach® Platform once you have been notified by your employer, session sponsor or Membership service provider (who has added HelloCoach® to their list of benefits), or alternatively, notified by HelloCoach® of the new service available to you.
  • You may also be given; be sponsored or buy a session/s, which will allow you access to the HelloCoach® App and platform. This is another way in which you could access the HelloCoach® Application.
  • The number of coaching sessions available to you annually, will be communicated by either your employer, HelloCoach®, or your Membership Service provider and this is determined by the package, or number of sessions they have elected to purchase from HelloCoach®. Every time that you book and take a session, one session credit will be deducted from the balance of sessions available to you (on your Account). You will be able to request your balance of available Coaching sessions on the “My Sessions” page. Each coaching session credit will be valid for one booked session only, after which it will expire.
  • Sponsored coaching sessions are only valid for duration stipulated in the sponsorship contract. Unused Sponsored Coaching Sessions will expire and do not roll over to the next period. If you are on a month-to-month package, unused monthly sessions will expire before the next month. Likewise, if you are on an annual package, Coaching Sessions will expire at the end of the 12-month period and will not be carried over to the next 12-month period. Sponsored coaching session are not transferrable from one User Account to another.
  • Sessions that have been purchased directly on the APP are only valid for 12 months from the date of purchase. Should you gift a purchased session credit to another user, the 12-month expiry date originally generated for the purchased session remains, regardless of how often the session credit has been gifted forward.
  • Coaching sessions are scheduled by agreement between you, the matching Coach allocated to you, and dates and times agreed upon and scheduled on a calendar which is accepted by both the Coach and the User. Prior to the start of a Coaching Session, a confirmation email, an email reminder, and a SMS reminder will be sent to both Coach and User.
  • Cancellation of a Coaching Session:
    • If you have booked a Coaching session with a Coach and wish to cancel that booking for any reason whatsoever you are required to give notice thereof to HelloCoach® at least 3 hours before the session is scheduled to start. This can be done by calling the ACTION LINE at: +27 21 597 1435.
    • If you fail to give 3 hours’ notice of cancellation, HelloCoach® your session will be forfeited.
    • If your failure to cancel a booked session within the required 3 hours’ notice is as a result of circumstances beyond your control, you may log a query with us by sending an email to info@hellocoach.co.za and we may, in our sole discretion, choose to credit your account with one Session.
    • Coaches are required to give Users notice of cancellation of a session at least 24 hours before the session is scheduled to start.
    • If a Coach fails to give you adequate notice of cancellation, or if a Coach fails to attend a scheduled session, it is your responsibility to notify us within three (3) calendar days of the scheduled session by sending an email to info@hellocoach.co.za, or by calling the ACTION LINE at: +27 21 5971435
    • If you do not notify HelloCoach® of a Coach’s failure to cancel or attend a scheduled coaching session timeously, the session deducted from the balance of available sessions on your account will not be credited to your account. If you notify HelloCoach® timeously we will credit your account with a session, or we will not deduct a session from your account if we have not already deducted the unattended session.

7. HELLOCOACH® COACHES

  • The HelloCoach® Coaches meet the following requirements to be selected to provide Coaching services for HelloCoach®:
    • Have training in individual coaching from a reputable organization; and
    • Be registered with Coaches and Mentors of South Africa (COMENSA), International Coach Federation (ICF), or a coaching body with equal or similar merit; and
    • Have a minimum of 150 hours of coaching or other relevant experience; and/or
    • Have a diploma/graduate degree or higher, including coaching modules.

8. SUICIDAL THOUGHTS

  • If you are thinking about suicide or if you are considering taking actions that may cause harm to yourself or others, or if you feel that any other person may be in any danger or if you have any medical emergency, you must immediately call Emergency Services and notify the relevant authorities.

  • You acknowledge, confirm, and agree that the HelloCoach® Platform is not intended for or Appropriate to use in the abovementioned circumstances.

9. FEES AND COSTS

  • You will only be able to use the HelloCoach® Platform once you have accessed the web-Application URL and Registered on the HelloCoach® APP.
  • The web-Application URL link can be found on the official HelloCoach® website, or in the invitation communications sent to you by HelloCoach® as instructed by your employer, specific service provider, or after you have been issued/allocated/sent (a) session credit/s by another HelloCoach® User.
  • You will only be invited to register on the HelloCoach® APP if your sponsor (company, or membership platform to which you belong), has entered into an agreement with HelloCoach® to provide coaching services., or if you have been given session credit/s.
  • To use the HelloCoach® Platform, you will require data and internet access. Standard data costs charged by the/your internet service provider or mobile network operator may Apply when you access the App or platform. Any questions or queries in this regard must be directed to your internet service provider or mobile network operator. You are responsible to ensure you have adequate data/Wi-Fi access to attend a coaching session, and failure to do so, will result in your session being deemed completed, albeit that it did not even start or ended prematurely, due to lack of data as the User. In these circumstances a coach will strive to complete the coaching session via a mobile network call, should you no longer have access to Wi-Fi or data.
  • Session Credits can be purchased directly on the HelloCoach® via the secure 3rd party payment gateway, at a singular cost of R699.00 per session including Value-Added Tax, as per the tax regulations of South Africa.
  • The accepted payment methods on our 3rd party payment gateway are by means of bank card details, instant EFT, scan-to-pay click or Visa click to pay.
  • From time-to-time HelloCoach® may advertise internally generated promotion codes for public use or for selectively chosen Users to redeem value-added benefits during the purchasing of session credits via the HelloCoach® APP. These value-added benefits may be reflected as either a discounted value (monetary saving) off the total purchase price, or additional complimentary session credits that will be acquired during your session credit purchase on the HelloCoach® APP. To enjoy this benefit, you are required to insert the promotion code into the ‘promo code’ field on the “Buy Sessions” screen in the App.
  • The promotion code(s) will only take effect provided the promotion code rules are met, such as date of purchase and/or frequency of promotion codes uses by each User. To learn more read the promotion terms and conditions on advertising and media communications.
  • HelloCoach® Users who are also active members of valid sponsored membership platforms may in some circumstances automatically qualify for specific discount purchase benefits, by means of automatic promotion codes that are activated during the session credit purchase process. Refer to your sponsoring membership platform’s terms and conditions to learn more about your discount purchase benefits, or email info@hellocoach.co.za for further information.

10. SECURITY

  • You are responsible for keeping your password secure and for everything that occurs through your use of the HelloCoach® Platform, including the activities of others, whether such activities are authorized or not.
  • You are responsible for scanning any Data transmitted to you through the HelloCoach® Platform for malicious code or software.
  • HelloCoach® is not responsible for any harm or prejudice suffered by you or any other person because of your failure, neglect, or refusal to keep your password secure, or your failure, neglect, or refusal to scan any data transmitted to you for any malicious code or software.
  • HelloCoach® will not be liable for any harm or prejudice suffered by you or any other person because of another person accessing, using and/or transmitting data through your account.
  • Only our authorized employees and agents and your assigned Coach have access to the personal information you send through the HelloCoach® Platform.

11. PROCESSING YOUR PERSONAL INFORMATION

  • To operate the HelloCoach® Platform and to improve on the services you receive from us, we may process, store, retain and/or utilize your personal information (as outlined in our PRIVACY POLICY) and including but not limited to:
    • Information about your Device software and hardware, including the unique internet mobile equipment identity (IMEI) of your mobile Device, the unique integrated circuit card identity (ICCID) number of your SIM card in your mobile Device, your email address, your internet protocol (IP) address, your mobile telephone number, third party software installed on your Device, installation and uninstallation rates, language of your Device and its manufacturer, screen size and model of the Device and any other technical information;
    • The date and time, country and IP address of the Device from which your Device is connected to our back end server;
    • Geographic location information based on your mobile network operator’s tower details, GPS and/or WIFI communications network location;
    • The personal information you provide when you complete the registration process in the App.;
    • The personal information you provide when you complete a survey or when you report a problem with us;
    • A record of correspondence when you contact us;
    • Details of your use of the HelloCoach® Platform, including but not limited to traffic Data, location Data, weblogs, and other communications Data that you access.
  • We process the above information for the following purposes:
    • To ensure that the HelloCoach® Platform is presented in the most effective manner for you and your Device;
    • To verify your identity;
    • To allow you to participate in interactive features made available through the HelloCoach® Platform;
    • To carry out statistical and other analysis to identify potential markets and trends; and
    • To develop new products and services.
  • We will keep your personal information only to enable us to use it for the purposes described in these Terms.
  • You acknowledge that:
    • We will always remain responsible for determining the means of processing your personal information;
    • You are aware and agree to your personal information being given to us by your employer/membership entity, to offer you this service, such that you can access this service.
    • You are aware an agree to information being given to us for you to be able to redeem a coupon/s, when booking coaching a session/s.
    • That you are 18 years or older.
    • At any time you can request us to delete your personal information from our data base by sending an email to: info@hellocoach.co.za, including your name, surname and email address. Your data will be deleted and confirmation thereof within 48 hours of respect of the instruction.

12. DISCLOSURE OF PERSONAL INFORMATION

  • HelloCoach® will treat your personal information as confidential and shall not disclose your information to third parties, except as permitted under these Terms or where we are legally compelled to do so. (please refer to our PRIVACY POLICY for more detail).

13. DISCLOSURE OF NON-PERSONAL INFORMATION

  • We also process information from you that does not identify you as an individual. We may process and disclose such information for any purpose.
  • You acknowledge that we own and retain all rights to non-personal information collected and compiled by us.

14. THIRD PARTY CONTENT

  • Third Party Content or Sites may from time to time Appear on the HelloCoach® Platform as images, links to websites or other data.
  • Third Party Content or Sites that may be included, are only for your convenience and do not constitute any Approval, endorsement, or warranty by us.
  • If you click on a link, you will leave the services controlled by HelloCoach®.
  • Any personal information you submit after you leave the HelloCoach® Platform will not be collected or controlled by us. It will be subject to the privacy notice or terms of use Applicable to the Third-Party Site. It is your responsibility to review those policies before submitting your information to a Third-Party Site and you provide such information at your own risk.
  • You indemnify us from all harm or prejudice you or any other person may suffer because of your access to or use of any Third-Party Content or Site.
  • You agree that we are not liable for any of the following:
    • The Content, security, operation, use, accuracy or completeness of any such Third-Party Sites or the products or services that may be offered or obtained through them, or the accuracy, completeness or reliability of any information obtained from Third Party Content or a Third-Party site;
    • The ownership or right of use of any licensor of any software provided through any Third-Party Site or of any Third-Party content;
    • Any failure or problem that affects the products or services of a Third-Party Site or Third-Party Content.

15. INDEMNITY

  • In addition to what is said elsewhere in these Terms, you agree to indemnify and hold harmless us, our officers, employees, representatives and affiliates, and our business partners, their officers, employees, representatives and affiliates from and against any and all direct, indirect, incidental, special, punitive or consequential losses, claims, liabilities, damages, losses, fines, penalties and expenses (including, but not limited to, legal and other professional fees) arising from or in any way related to:
    • Your use of the HelloCoach® Platform (including App.);
    • Your breach of these Terms or Applicable law;
    • Your negligence or willful misconduct; or
    • Your violation of any third party’s rights, including without limitation, any Intellectual Property rights.

16. DISCLAIMER

  • The HelloCoach® Platform is provided on an “as is” and “as available” basis and with all faults.
  • Unless specified in writing, we make no representations or warranties of any kind, express or implied, as to the operation of the HelloCoach® Platform (and/or Application), or the Coaching Services or other data included on or otherwise made available to you through the HelloCoach® Platform (and/or Application).
  • To the extent permissible by Applicable law, we disclaim all warranties, express and implied, including, but not limited to:
    • Warranties of merchantability (i.e., that the Coaching services are reasonably fit for the ordinary purpose for which such services are rendered) or fitness for a particular purpose.
    • Warranties that the HelloCoach® Platform or any Third-Party Site will be error free, uninterrupted, free from spyware, malware, adware, viruses, worms, or other malicious code, or will function to meet your requirements.

17. LIMITATION OF LIABILITY

  • We are not and shall not be liable to you for any harm or prejudice whatsoever arising out of or in connection with:
    • These Terms;
    • The HelloCoach® Platform;
    • The Coaching services;
    • Payment gateways;
    • Any opinion, advice, recommendation, information or any other information received from a Coach, or employee of HelloCoach®;
    • Someone finding out what your password is;
    • Another person using your account;
    • Any defect, fault, malfunction and/or delay in your Device hardware and/or software;
    • Any technical or other problem (interruption, malfunction, downtime or other failure) that affects the HelloCoach® Platform, Coaching services, a third-party system, or any part of any database for any reason;
    • Your use of the HelloCoach® Platform;
    • Any personal information or other data that is directly or indirectly lost or damaged because of technical problems, power failures, unlawful acts (such as data theft), any harmful software or virus, or your own negligence;
    • Any event that we have no control over, such as your network’s coverage or availability or your Device’s capability or capacity.
  • This clause does not exclude or limit any liability which, by law, is not capable of exclusion or limitation.
  • Our maximum liability in respect of any liability proven against us is limited to the fee actually paid for your personal access to the HelloCoach® Platform.
  • This clause shall Apply even if the agreement is cancelled by you, your company, your sponsor or by us, or if it naturally expires, or for any other reason.

18. RIGHTS OF THE APPLE APP STORE OR GOOGLE PLAY STORE

Applicable when/if the HelloCoach® Mobile App is posted into the Apple and/or Google Play Stores

  • You acknowledge and agree that:
    • These Terms are entered into between you and us. If the HelloCoach® App is made available through the App Store and Google Play, the App Store and Google Play are third parties under these Terms and will also have the right to enforce these Terms against you;
    • To the maximum extent allowed by law, the Apple App Store and Google Play Store do not give or enter into any warranty, condition or other term in relation to the HelloCoach® App and will not be liable to you for any claims, losses, costs or expenses of whatever nature in relation to the HelloCoach® App or as a result of you or anyone else using the HelloCoach® App or relying on any of its content;
    • Any claims relating to the license to the HelloCoach® App, possession or use of the App are between you and us (and not between you, or anyone else, and the Apple App Store or Google Play Store), including but not limited to any liability claims, any claim that the HelloCoach® App fails to conform to any Applicable legal or regulatory requirement and claims under consumer protection legislation; and
    • If any claim by a third party that your possession or use (in line with these Terms) of the HelloCoach® App infringes any Intellectual Property rights, the Apple App Store or Google Play Store will not be liable to you in relation to that claim.

19. TERMINATION AND SUSPENSION

  • You may deregister from using the HelloCoach® Platform at any time simply by emailing info@hellocoach.co.za or calling our ACTION LINE at: +27 21 597 1435.
  • We may immediately terminate or suspend your use of the HelloCoach® Platform at any time without notice. This may include, without limitation, if:
    • We suspect fraud or illegal, unauthorized, or improper conduct;
    • We suspect that we are exposed to any risk through your use of the HelloCoach® Platform;
    • We are required by law to do so or so ordered to do so by a competent court;
    • We suspect that your Device, SIM card or your password is being used, has been used or is likely to be used in an unlawful or unauthorized manner;
    • We suspect that you are attempting to compromise or interfere with our systems; or
    • We suspect that your use of the HelloCoach® Platform violates any of these Terms or is in contravention of any Applicable law or regulations.
    • Your company/sponsor of the HelloCoach® service are in breach of payment for the service and will remain terminated until such breach is remedied satisfactorily.
  • Where we terminate your use of the HelloCoach® Platform, all rights granted to you in respect of the HelloCoach® Platform will cease immediately, save as specifically set out herein.

20. VARIATION

  • We may vary these Terms at any time without notice to you.
  • All variations to these Terms shall take effect upon posting of the Terms on our website and/or HelloCoach® Application.
  • It is your responsibility to regularly review these Terms and ensure you are up to date with the content thereof.
  • We will not be liable for any damage caused to you or any third party because of your failure, neglect, or refusal to ensure that you are up to date with the latest version of these Terms.
  • Your use and continued use of the HelloCoach® Platform will be deemed an acceptance of the updated Terms.

21. INTELLECTUAL PROPERTY

  • All Intellectual Property rights used in connection with the HelloCoach® Platform or contained in documents (in electronic form or otherwise) relating to the HelloCoach® Platform belong to us and/or our licensors (and licensees).
  • You do not have any Intellectual Property rights to or in the HelloCoach® Platform, or in any improvements or variations that may be made to it.
  • We grant you a non-assignable, non-sub-licensable, non-transferable, non-exclusive license to use the HelloCoach® Platform, which may include updates and/or upgrades, only for purposes outlined in these Terms and for no other purposes.
  • We will from time to time update these Terms. It is your responsibility to ensure that you are familiar with the current Terms, as your continued use of the HelloCoach® Platform will indicate that you agree to those terms.
  • The HelloCoach® Platform is licensed to you only and you will not grant any rights of use or any other rights in respect of the Platform or HelloCoach® App or any Intellectual Property Rights in it, to any other person.
  • You may not copy, adapt, modify, alter, de-compile, reverse engineer, attempt to derive the source code of or create derivative works of, or otherwise attempt to reproduce the HelloCoach® Platform, its Contents, including any Intellectual Property therein, its design, any updates to the HelloCoach® App and/or any proprietary features in relation to it, or any parts thereof. This prohibition extends to all Third-Party Sites and Content that is found on the App and/or any Content featured on the Third-Party Sites which are accessed through links that are found on the Platform.
  • You acknowledge that you will not:
    • In any way represent that you have any rights of any nature in any current and future Intellectual Property belonging to us and/or any third parties featured on the HelloCoach® App;
    • Apply for or obtain registration of our current and future Intellectual Property which may be confusingly similar thereto in any country;
    • Challenge our rights to our current and future Intellectual Property in any country;
    • Do, or omit to do, or cause to be done any act or thing which would be expected to weaken, damage, be detrimental to or in any way impair or tend to impair our current and future Intellectual Property or the reputation and goodwill associated therewith or with us and/or any third party featured on the Platform, or which would be expected to jeopardize or invalidate any registration of our current and future Intellectual Property (IP);
    • Use, register or attempt to register as trade names, corporate names, business names, logos, domain names, meta-tags, meta descriptors, e-mail addresses, server names, or search-engine markers anything that is identical to, contained in whole or in part, or is otherwise confusingly similar to our current and future Intellectual Property in any country;
    • Establish a hyperlink, frame, metatag, similar reference, whether electronically or otherwise, or any other reference to the App without our prior written consent.
  • You indemnify us against all actions, claims, costs, demands, expenses and other liabilities suffered or incurred by us as are result of any third-party claims initiated and/or instituted against us relating to your unauthorized use of the HelloCoach® Platform, the content thereon and/or any other Intellectual Property rights flowing from them.
  • Nothing contained in these Terms shall be construed as granting by implication or otherwise, any license or right to use any Intellectual Property without the written permission of HelloCoach® or such party that may own the relevant Intellectual Property.
  • Any breach under this clause entitles us, in addition to our normal common law remedies, to take legal action without prior notice to you and you agree to reimburse the costs associated with such legal action to us on an attorney and own client scale.

22.  ADDRESS FOR NOTICES AND LEGAL PROCEEDINGS

  • We choose our registered address at Unit 4, 155 Vasco Boulevard, Goodwood, Western Cape, 7460 as the address where any legal document or notice must be served or delivered to us.
  • We may send any other written communication to your email address or through the HelloCoach® Platform.
  • We will regard a communication sent by email to be received by you the day after it was sent.

  • If you have any queries or complaints about the HelloCoach® Platform, or would like to de-register from this service, or want us to delete your personal information, you may send an email to info@hellocoach.co.za or contact us via phone on +27 21 597 1435.

24. DEFINITIONS

  • Account refers to the arrangement whereby we give you personalized access to the HelloCoach® Platform by entering your username and password;
  • Agreement means the Agreement between you and us which is comprised of these Terms and Conditions;
  • Coaching Session (also Session/s) refers to a 40-minute-long interaction between a User and Coach on a communication platform agreed upon between the User and Coach;
  • Coaching Services refers to any coaching, mentoring, information, advice or any other input, benefit or service rendered to you by a HelloCoach® Coach;
  • Content (refer to Data);
  • Session Credit refers to a session/s that is bought by you or issued to you, to access the App and to book a coaching session;
  • Data (also Content) means electronic representations of information in any form;
  • Device means the smartphone, tablet, computer, or device with similar functionality you use to access the HelloCoach® Platform.
  • Intellectual Property means all inventions, specifications, patents, designs, trademarks, service marks, trade names and all goodwill associated with such inventions, patents, designs, trademarks, service marks, trade names; copyright, including all copyright in any logos, devices, designs, multimedia works and computer software programs (in both source and object code form, and including any programmers’ or developers’ notes, flow charts, memoranda and design documents); rights protecting goodwill and reputation; proprietary material, know-how, ideas, concepts, trade secrets, methods, techniques, graphics; schematics; marketing; sales and user Data; domain names and URLs; Databases and rights in Databases, confidential information and all other Intellectual Property rights and rights of a similar character whether registered or capable of registration, rights in the nature of any of the aforesaid items whether registered or unregistered in any country or jurisdiction and all Applications and rights to Apply for protection of any of the same worldwide;
  • HelloCoach® Coaches are those individuals providing you with Coaching Services via the HelloCoach® Platform;
  • Terms means these Terms and Conditions which constitute the Agreement between us;
  • Third Party Content or Site/s means any website or Content that belongs to a third party that is either featured on the HelloCoach® Platform or is linked to the HelloCoach® Platform;
  • Us (refer to HelloCoach®);
  • User is You;
  • HelloCoach® (also WeUs) refers to HelloCoach C.C, a privately owned Closed Corporation with limited liability, duly registered in accordance with the company laws of the Republic of South Africa, with registration number 2007/076518/23, and with its registered address at 155 Vasco Boulevard, Goodwood, Western Cape, South Africa;
  • HelloCoach® App refers to the Application owned and endorsed by HelloCoach CC. and downloaded for which a link is provided to User’s to get access to it, or by using a coupon to get access to it. It may at a future date also be available to download from the Apple App Store or Google Play Store which is used to access the HelloCoach® Platform through a Device.
  • HelloCoach® Platform means the electronic platform accessed via your device/s which Platform is designed to connect and facilitate communication between Users and HelloCoach® Coaches, who assist Users in achieving their short-term personal and business goals more effectively, while developing Users’ ability to more effectively deal with problems when they arise;
  • We (refer to HelloCoach®).
